It has the critical mass of users that makes it quite useful, in my opinion. I.e. everyone's on it because everyone else is on it. I first joined because people I knew were joining, but then I started hearing from old friends I hadn't heard from in more than 15 years.
When I first joined facebook I didn't see what the excitement was all about, but it grew on me as I learned more about it. The add-on applications (e.g. photo galleries, Where I've Been, Catbook *cough*) are what make it more interesting.
As far as privacy goes, you actually do have quite a bit of control over who sees what.
I find I'm checking LJ less and less often in favor of Facebook, but YMMV.
